Terms of Service
Acceptance of Terms
By accessing or using the QuickAuth API, creating an account, or otherwise using any part of the Service, you ("Developer" or "you") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "Developer" refer to that entity.
Description of Service
QuickAuth is a product of CodeLamda Technologies Pvt. Ltd. that provides a unified developer API offering:
- OTP Authentication — Generation and delivery of one-time passwords via SMS, WhatsApp, and voice.
- WhatsApp OTP — Passwordless user authentication using WhatsApp as an identity channel.
- Marketing Broadcasts — Sending bulk campaign messages via WhatsApp to opted-in audiences.
- Delivery Analytics — Real-time delivery status reporting and usage metrics.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
Eligibility
To use the Service, you must:
- Be at least 16 years of age.
- Be a developer, business, or legal entity using the Service for commercial or technical purposes (not as an individual end consumer).
- Have the legal capacity and authority to enter into binding contracts under applicable law.
- Not be located in, or be a national or resident of, any country subject to applicable trade sanctions or embargoes.
- Not have been previously suspended or removed from the Service.
API Access & API Keys
Upon approval of your application, CodeLamda will issue you one or more API keys to access the Service. You agree that:
- You are solely responsible for maintaining the confidentiality and security of your API keys.
- All activity that occurs under your API key is your responsibility, regardless of whether it is authorised by you.
- You will not share, sell, transfer, sublicense, or otherwise expose your API key to any third party not employed by or acting as an authorised agent of your organisation.
- You will promptly notify us at contact@quickauth.in if you suspect your API key has been compromised or used without authorisation.
- Access to the Service is granted on a non-exclusive, non-transferable, revocable basis.
We reserve the right to revoke, rotate, or suspend any API key at any time, with or without notice, if we reasonably believe it is being misused, is subject to a security risk, or if you are in breach of these Terms.
Acceptable Use Policy
- Sending time-limited, single-use OTPs to users who are actively attempting to authenticate with your application.
- Delivering transactional messages (account alerts, notifications) to users who have opted in.
- Conducting WhatsApp OTP flows for passwordless login.
- Sending marketing messages exclusively to users who have provided explicit, documented prior consent.
You must not use the Service to:
- Send unsolicited, bulk, or spam messages to users who have not given prior consent.
- Send messages containing illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or otherwise objectionable content.
- Impersonate any person, company, government entity, or brand without authorisation.
- Engage in phishing, fraud, or any activity designed to deceive end users.
- Circumvent rate limits, quotas, access controls, or security mechanisms.
- Reverse engineer, decompile, disassemble, or attempt to extract source code or proprietary algorithms from the Service.
- Resell, redistribute, or offer the Service as part of a competing product without a written reseller agreement with CodeLamda.
- Use the Service in violation of applicable law, including the Indian Telecom Commercial Communications Customer Preference Regulations (TCCCPR), TRAI guidelines, WhatsApp Business and Commerce Policies, and any applicable data protection legislation.
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.
Developer Responsibilities & End-User Consent
As a Developer, you acknowledge and agree that:
- You are solely responsible for your application and how it uses the QuickAuth API, including all interactions with your end users.
- You must obtain valid, informed, and documented consent from each end user before submitting their phone number or email address to the QuickAuth API. This consent must meet the standards required by applicable law in the end user's jurisdiction.
- You must maintain your own publicly accessible privacy policy that clearly discloses your use of third-party OTP and messaging services.
- You must provide your end users with a clear, accessible mechanism to withdraw consent and opt out of receiving messages at any time.
- You are responsible for complying with all applicable telecom regulations, including TRAI in India, FCC in the United States, and equivalent bodies in other jurisdictions.
- You must comply with the WhatsApp Business Policy and Meta Commerce Policy if you use WhatsApp-based features.
Data Processing
By using the Service, you agree that:
- You are the Data Fiduciary / Data Controller for your end users' personal data under the Digital Personal Data Protection Act 2023 and any other applicable data protection law.
- CodeLamda acts as the Data Processor and will process end user data (phone numbers and emails) solely on your instructions and solely for the purpose of delivering the requested OTP or message.
- End user data submitted via API calls will be retained for a maximum of 30 days from the date of delivery, after which it will be securely deleted.
- You grant CodeLamda a limited, non-exclusive, non-transferable licence to process end user data solely for the purpose of providing the Service.
These Terms, together with our Privacy Policy, constitute the Data Processing Agreement between you (as Data Controller) and CodeLamda (as Data Processor) for the purposes of applicable data protection legislation.
Intellectual Property
All intellectual property rights in the QuickAuth Service, API, SDKs, documentation, and associated materials — including the "QuickAuth" name, logo, and brand — are and remain the exclusive property of CodeLamda Technologies Pvt. Ltd.
Nothing in these Terms grants you any right, title, interest, or licence in or to CodeLamda's intellectual property, except the limited right to use the Service as expressly permitted herein.
You retain full ownership of your own applications, data, and content. You grant CodeLamda a limited licence to use your data and content solely to the extent necessary to provide and improve the Service. We may use aggregate, anonymised, non-identifiable usage data to improve our products.
Disclaimers & Service Availability
While we target 99.9% uptime and strive to deliver OTPs within 500 milliseconds, we do not guarantee uninterrupted, error-free, or timely service availability. Message delivery is subject to:
- Telecom carrier availability, congestion, and routing policies.
- WhatsApp (Meta) platform availability and policy changes.
- Network conditions outside our reasonable control.
- Scheduled or emergency maintenance.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, OR THAT IT WILL BE AVAILABLE AT ALL TIMES, OR THAT DEFECTS WILL BE CORRECTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CODELAMDA TECHNOLOGIES PVT. LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.
- OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CODELAMDA IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- WHERE NO FEES HAVE BEEN PAID, OUR TOTAL LIABILITY SHALL BE LIMITED TO INR 5,000 (INDIAN RUPEES FIVE THOUSAND).
These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and even if CodeLamda has been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless CodeLamda Technologies Pvt. Ltd. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service in violation of these Terms or applicable law.
- Your failure to obtain valid end-user consent before submitting data to the API.
- Any content or data you transmit through the Service.
- Any claim by your end users arising from your application or your use of the Service.
- Your violation of any third-party right, including intellectual property, privacy, or contractual rights.
Termination
- Either party may terminate this agreement upon 30 days' written notice to the other party.
- CodeLamda may immediately suspend or terminate your API access, without prior notice or liability, if you: breach these Terms; engage in fraudulent, abusive, or illegal activity; fail to pay amounts due; or pose a material security or reputational risk to the Service.
- Upon termination for any reason: all licences granted to you under these Terms immediately cease; you must stop using the Service and delete any cached API responses or credentials; and any unpaid fees become immediately due.
- Sections 7, 8, 9, 10, 11, 13, and 15 survive termination of these Terms.
Governing Law & Dispute Resolution
- These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
- Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.
- Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith written communication for a period of at least 30 days.
Changes to These Terms
We reserve the right to modify these Terms at any time. For material changes, we will:
- Post the updated Terms at quickauth.in/terms-service with a revised effective date.
- Send an email notification to registered Developer accounts at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of those changes. If you do not agree, you must stop using the Service before the effective date.
Miscellaneous
- Entire Agreement. These Terms, together with the Privacy Policy and any additional agreements you enter with CodeLamda, constitute the entire agreement between you and CodeLamda regarding the Service and supersede all prior agreements.
- Severability. If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
- No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure. Neither party shall be liable for failure or delay in performance caused by circumstances beyond their reasonable control, including natural disasters, acts of government, carrier outages, or internet service disruptions.
- Language. These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
